This Terms of Service Agreement (the “Agreement”), is entered on the date of initial payment submission BETWEEN AIM Marketing/Growth Agency, a subsidiary of Ads in Motion LLC (the “Company”) AND the partnering business entity (the “Client”). The Client and The Company (collectively, the “Parties”) agree to the following: ​
AIM is a full-service marketing and growth agency that specializes in:
• Facebook, Instagram, Google, and YouTube Paid Advertising
• Creating High-Converting Sales Funnels and Landing Pages
• Attracting, Capturing, and Nurturing Leads for Service Businesses
• Creating Automated Follow-up Sequences (email, sms, ai, etc…)
• Optimizing Websites and Landing Pages for Conversions
• General Business Strategy and Marketing Consulting Services
1. Company Services ​
The services can be divided into two parts: the set-up services, and the ongoing management services. Both types of services are detailed below. ​
As part of the set-up services, the Company will prepare and manage as outlined below in the bullet points. The Company agrees to begin set-up services within 24 hours after initial payment submission. Completion of set-up services will depend on the timeliness of Client’s onboarding speed, and the Company agrees to have everything ready for the Zoom Launch Call - which will be scheduled after Client’s onboarding completion. Set-up services, depending on these factors, as well as the complexities of the Scope of Work, can take up to 14 business days.
The Company will be: ​
• Reviewing Client’s Onboarding Questionnaire and Internally Strategizing.
• Performing General Market and Customer Demographic Research.
• Performing Competitive Analysis and Competitor Research.
• Setting initial Daily Testing Budgets and KPI Targets.
• Creating multiple Offers, Angles, and Call-to-Actions.
• Creating unique Target Audiences and Demographics.
• Writing the Advertising Copy across all channels.
• Creating and/or Editing Graphics and Images as needed.
• Setting up initial Prospecting and Awareness Campaigns.
• Installing necessary tracking systems such as Advertising Pixels.
• Creating and installing Custom Conversion Events for Facebook Ads.
• Creating and installing Custom Conversion Tracking for Google Ads.
• Creating Email and SMS Automations inside of the Astrotek Software.
• Transferring all Uploaded Assets and CSV Files into the Astrotek Software.
• Setting up and optimizing Client’s Facebook Business Manager and Ad Account.
• Setting up and optimizing Client’s Astrotek Software Account. ​
As part of the Ongoing Monthly Management services, the Company will be providing Client services as agreed upon and outlined in the tiered pricing sheet, attached via initial proposal email. These Ongoing Monthly Management services are broken down between three tiers: the Grow Plan, the Scale Plan and the Level-Up Plan. ​
2. Client Requirements ​
Client agrees to provide the following action items (1-10) within 7 business days of the initial payment submission so that the Company can complete the set-up services in a timely manner. For each additional day of delays after 7 business days, Client agrees that Company will postpone the Zoom Launch Call for up to 3 business days beyond the original timeline of events. Client understands that it is their responsibility to provide all onboarding information and assets in a timely manner, and should Client have trouble sharing, uploading, or connecting certain action items, it is the Client’s responsibility to reach out via email and request assistance.
The Client agrees to: ​
• Complete the Research & Onboarding Questionnaire.
• Upload a CSV file of all current and previous customers.
• Grant admin access to Facebook Business Page Grant admin access to Facebook Ad Account.
• Grant admin access to Facebook Pixel.
• Grant admin access to Instagram Account.
• Complete Astrotek Onboarding as outlined in the shared pdf-link.
• Ensure that Astrotek Launchpad, Calendar(s), User(s), Integrations, Lead Form(s), Media Assets, and Billing Information is all completed.
• Update a credit card to the Facebook Ads account and agree via email to the maximum monthly spend limit.
• Update a credit card to the Google Ads account and agree via email to the maximum monthly spend limit, if applicable.
• Purchase a Twilio phone number for Lead Generation and Lead Nurturing - inside of Astrotek software. ​
Once all action items from above are completed, both Parties agree to schedule a Zoom Launch Call to review the launch strategy and prepare for going live. Unless otherwise agreed, or the need for additional information or assets, Company agrees to launch Client’s campaigns and go live within 3 business days following the Zoom Launch Call. ​
As part of the Ongoing Monthly Management services, the Client agrees to: ​
•Provide the Company with all requested creatives and assets (photos, videos, and graphics) within 72 hours.
• Not make any changes to live campaigns, landing pages, funnel pages, websites, email sequences, SMS flows, or creative assets.
• Utilize the Astrotek software on an ongoing basis. Agree to inform the Company of any major site downtimes or changes.
• Agree to provide the Company with the autonomy to create offers and call-to-actions that the Company feels would increase advertising performance.
• Agree to allow the Company to purchase domains and additional software assets that are necessary for optimal advertising performance, without exceeding $150 per month in recurring fees for the Client.
• Communicate with the Company via email for all non-scheduled matters, while allowing up to 24 hours for a response. For matters deemed "inappropriate", "unprofessional", or "repetitive" by our internal team, please allow up to 96 hours for a response.
• Show up to the scheduled Zoom meetings to discuss advertising performance and make adjustments.
• Recharge credits within Astrotek for the ongoing text messages, emails, and AI usage. ​
3. Compensation and Payment ​
For the Services described and the agreed upon tiered plan, the Client will pay USD in Management and Retainer Fees every month. The Monthly Retainer will be due immediately and every month thereafter and will be automatically deducted from the Client’s payment method on file each month. Acceptable payment methods for the monthly retainer include Amex, Mastercard, and Visa Debit or Credit cards. The Company does not accept any merchant processors other than Stripe. ​
4. Term ​
This Agreement will commence on the effective date first set forth above (initial payment submission) and will continue for the agreed upon term - which is either 90 days or month-to-month.

5. Refunds, Cancellations, and Terminations ​
a. Refunds: The Company does not offer any refunds for services already rendered or for any part of the monthly retainer once work has commenced. Work commences the day that payment is submitted by Client. Also, any prepaid amounts are non-refundable and there are no prorated returns.
b. Cancellations: The Client may cancel ongoing management services after the initial agreed-upon term by providing a 28-day written notice to the Company prior to the next billing cycle. Cancellations must be in writing and sent directly to [email protected]. If the Client cancels inside of 28 days from the next billing cycle, they will be charged for the next month's retainer fee, as the Company will have to work diligently to ensure a smooth transition for both Client and Company. This transition is intricate and will include many hours of work to properly disconnect all integrations, close out all joint accounts, remove pixels and custom tracking mechanisms, remove all custom conversion events, export all landing pages and sales funnels, ensure that all advertising bills are taken care of, and much more. ​
c. Terminations: In the event of a breach of this Agreement by either party, the non-breaching party may terminate this Agreement with a 14-day written notice, prior to the next billing cycle. Breach may include failure to adhere to the terms outlined in this Agreement or any other substantial violation. In case of termination by either party, there are no refunds or prorated returns, and there will be no additional payments owed. ​
6. Guarantee
​The Company does not warrant or guarantee any specific level of performance or results. Example of results obtained for other clients of the Company may be used as a marketing tool and shown to Client for demonstrative purposes only and should not be construed by Client as indicating any promised results or level of results. ​
7. Communications ​
If the Client has any questions, the first place to check is the Astrotek software. If the Client’s question is not answered there, the Client agrees that primary communication is to be via email only, unless otherwise agreed with alternative channels. The email address to use [email protected]. The Company agrees to respond to all relevant email questions and requests within 24 business hours. For matters deemed "inappropriate", "unprofessional", or "repetitive" by our internal team, please allow up to 96 hours for a response. ​
8. Confidentiality ​
Both Parties agree to keep any confidential information obtained during the course of this Agreement confidential and not to disclose it to any third parties, except as required by law. ​
9. Intellectual Property ​
a. The Company retains all rights to any intellectual property created or used during the provision of services, including but not limited to designs, content, and marketing materials. ​
b. The Client grants the Company a non-exclusive, royalty-free license to use the Client's logos, trademarks, and other branding materials solely for the purpose of providing the services outlined in this Agreement. ​
10. Terms of Service Agreement Acceptance

By confirming and acknowledging this agreement via email, as well as the submission of initial payment, the Parties hereby understand and agree to all terms and conditions of this Agreement.
